The small print

Terms of service

Written so a busy owner can actually read it. If anything here is unclear, ask before you agree to it.

Before launch: the trading entity, registered address and governing-law
jurisdiction below still need to be completed. They are marked TO BE COMPLETED.

These terms cover the website build and the monthly managed service supplied by
Up & Booked, a trading name of TO BE COMPLETED (the “we”, “us” or “our” below).
By approving a homepage preview and asking us to complete a website, you agree to
what follows.

The preview

We may build a homepage for your business and send you a private link to it before
any agreement exists between us. That preview is free, is not published, and creates
no obligation on either side. We retain ownership of a preview that is never
commissioned, and we will not publish it or offer it to another business.

The build

Price. A$999, payable when the completed website has been approved by you and is
ready to be made live. Nothing is payable before that point.

Scope. Up to five pages, including design, written content, responsive
development, one enquiry path (click-to-call, quote form or a booking widget
connected to a tool you already use), domain connection and launch. Work outside
this scope is quoted and agreed in writing before it starts.

Your material. You confirm that photographs, logos, reviews and text you supply
are yours to use. We rely on that, and you remain responsible for the accuracy of
factual claims about your business — licence numbers, service areas, guarantees and
qualifications included.

Approval. Your approval of the finished site is the point at which the build is
complete. Reasonable revisions before that point are part of the price; a change of
direction after approval is new work.

The monthly service

Price. A$100 per month, beginning on the day the site goes live, billed monthly
in advance.

Included. Managed hosting, SSL, security monitoring, backups, uptime monitoring,
the connected form or booking integration, direct written support, and small text or
photo changes — edits to wording, images, prices, hours, staff and service areas.

Not included. New pages, new features, redesigns, e-commerce, customer logins,
advertising management and search-engine optimisation as an ongoing service. These
are quoted separately, and we will tell you when a request has crossed the line
rather than absorbing it quietly or invoicing you by surprise.

Fair use. “Small changes” is a genuine allowance, not a loophole in either
direction. If requests consistently amount to redevelopment, we will say so and quote
for it instead of degrading the service.

Ownership and hosting

Your domain is registered in your name and stays that way. You may take it elsewhere
at any time.

We host the sites we build. We do not take over websites built by others, and the
monthly service is not available for a site we do not host.

On final payment of the build fee, you own the design and content of your website.
The underlying platform, tooling and reusable components stay ours.

Cancellation

Either side may end the monthly service with 30 days’ written notice — an email is
enough. There is no minimum term, no cancellation fee and no retention call.

On cancellation we will provide a copy of your website files in a standard, portable
format at no charge. Reasonable assistance in moving to another host is included;
rebuilding the site for a different platform is not.

We may suspend the service for non-payment after written notice, and end it if
invoices remain unpaid for 60 days. Your files and domain remain available to you.

Liability

We build and maintain the website carefully, but we do not promise particular
business results — enquiries, rankings, bookings or revenue. Nobody honestly can, and
anybody who does should worry you.

Our total liability in connection with these terms is limited to the fees you have
paid us in the twelve months before the claim. Nothing here limits liability that
cannot be limited by law, including rights you have under the Australian Consumer
Law.

Changes and jurisdiction

If we change these terms, the current version is always published here and material
changes are emailed to active clients at least 30 days before they take effect.

These terms are governed by the law of TO BE COMPLETED.
